In-House Counsel

We are seeking an In-House Counsel to provide expert legal guidance and support to ensure our operations align with all applicable laws and regulations. This role requires expertise in legal and strategic advice to support the company’s business operations, regulatory compliance, intellectual property management, contract drafting and negotiations, and risk mitigation. Our ideal candidate is a proactive problem solver and strategic thinker with exceptional communication skills and a strong ethical foundation. In this dynamic role, you will work closely with executive leadership, internal departments, and external counsel to ensure legal alignment with business objectives.

Responsibilities

Contract Management & Negotiation

  • Draft, review, and negotiate a variety of contracts, including SaaS agreements, vendor contracts, NDAs, TAs, and subcontracts.
  • Manage a contract repository and oversee template development for legal documents.
  • Develop and maintain contract templates to streamline negotiations.
  • Provide Contracts Manager services by overseeing contract lifecycles and ensuring regulatory compliance.
  • Lead negotiations with partners, vendors, and government agencies on contract matters.

Compliance & Risk Management

  • Ensure compliance with government regulations and other government contracting requirements.
  • Work closely with specialized compliance counsel to address legal risks and regulatory changes.
  • Establish and enforce internal compliance policies, including cybersecurity.
  • Monitor emerging regulatory changes affecting the tech industry and recommend proactive strategies.
  • Oversee audit preparation for reviews.
  • Develop and implement contract growth and compliance strategies to support business expansion.
  • Manage legal due diligence for fundraising rounds, mergers, and acquisitions.

Corporate Governance & Employment Law

  • Review and update corporate policies, employment agreements, and employee handbooks to align with labor laws.
  • Assist in the development of C-Suite compensation packages, incentive plans, and stock/equity models.
  • Collaborate with HR on labor law compliance, dispute resolution, and workplace policies.
  • Provide legal insights in board-level and executive meetings on corporate strategy and risk.

Intellectual Property (IP) & Technology Law

  • Manage and protect the company’s IP portfolio, including patents, trademarks, copyrights, and trade secrets.
  • Assist in patent filings, licensing agreements, and open-source compliance.
  • Ensure compliance with software licensing, technology transactions, and data protection laws.
  • Advise on data privacy and cybersecurity policies, including compliance with GDPR, CCPA, and international data protection laws.

Startup & Growth Strategy

  • Support venture capital financing, M&A transactions, and strategic partnerships.
  • Conduct due diligence for investor relations, term sheets, and funding agreements.
  • Develop legal frameworks for product launches, global expansion, and new business models.
  • Ensure compliance with securities regulations related to startup fundraising rounds.

Dispute Resolution & Litigation Management

  • Provide pre-litigation advice and manage dispute resolution strategies.
  • Oversee external counsel on litigation matters, including IP disputes, contract enforcement, and employment claims.
  • Handle customer and vendor disputes to minimize risk exposure.

Qualifications

  1. Juris Doctor (JD) degree from an accredited law school and active bar membership.
  2. Admission to the state bar and in good standing.
  3. 5+ years of legal experience, preferably with a mix of law firm and in-house counsel experience in the technology sector.
  4. Strong knowledge of technology-related laws, including IP, data privacy, cybersecurity, and contract law.
  5. Proficiency in managing complex legal projects and transactions.
  6. Experience with corporate governance, risk management, and regulatory compliance.
  7. Experience in venture capital financing, M&A, and technology licensing is a plus.
  8. Ability to work independently while collaborating cross-functionally with business and technical teams.
  9. Strong business acumen with the ability to provide practical legal solutions.
  10. Strong legal drafting and documentation skills.
  11. Effective communication and presentation abilities.
  12. High degree of professional ethics and integrity
